  1. Syndy has obtained official endorsement from Chinese Government and the equivalent credit will be guaranteed from official insurance company in China.
  2. Syndy will build customer service center with government together, that specializes in solving customer complaints.
  3. After purchasing the products through Syndy, system will automatically issue an insurance policy for the customer. If Syndy fails to provide customer with complete service as agreed, the insurance company will automatically compensate for customer’s lost, and Syndy shall take the whole responsibility for breaching the contract.

In the process of transaction, what kind of expenses should Syndy, supplier and the customer bear respectively?
  1. Syndy is responsible for platform service insurance, customs warehousing fee, custom clearance fee, sea freight, electronic tracking fee, AC(SCS)fees, marine insurance, bank fee (including handling fee) in China, etc.
  2. The manufacturer is responsible for product value, value-added tax, inspection fee, packaging fee, domestic transportation costs, genuine insurance premiums, after-sales insurance premiums, etc.

How to deal with force majeure factors?
  1. If either Party is prevented from performing its obligations under this Contract by force majeure, such as earthquake, typhoon, flood, natural disaster, fire, explosion, war, riot, interruption of international or domestic transportation or any other unforeseeable event beyond the reasonable control of such Party (” Force majeure event “), such Party shall immediately notify the other party in writing. Provide details of the force majeure event (including documents issued by official authorities (if any) attesting to the force majeure event) and take all commercially reasonable measures to minimize or eliminate the effects of the force majeure event.
  2. In the event of a force majeure event, neither party shall be liable for any damage, additional costs or losses suffered by the other Party as a result of such Party’s inability to perform or delay in performing the Contract, and such inability or delay in performing the Contract shall not be deemed a breach of this Agreement.
How to deal with dispute?

Both parties agree to settle all disputes arising from the performance and interpretation of the terms and conditions of this Contract through friendly negotiation. Within a reasonable period of time from the date of notification of the occurrence of the dispute, but not exceeding 90 days at most, the dispute cannot be reached to the satisfaction of both the buyer and the seller, then the dispute shall be submitted to China International Economic and Trade Arbitration Commission for arbitration, the place of arbitration and the hearing shall be in China, and shall be conducted in accordance with the arbitration rules in force at the time of applying for arbitration. The arbitration proceedings shall be conducted in the Chinese language. The arbitration award shall be final and binding upon both parties. Neither party shall seek to amend the arbitral award by a court or other authority. Unless otherwise agreed, the arbitration fee shall be borne by the losing party.
